1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by WalaLabs ("WalaLabs," "we," "us," or "our"), including our website at walalabs.com and our AI agent design, development, hosting, and management services (collectively, the "Services").

By accessing our website, submitting a contact form, or purchasing our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Description of Services

WalaLabs provides the following services:

• Custom AI agent design and development tailored to your business needs
• Deployment and managed hosting of AI agents on WalaLabs infrastructure
• Ongoing monitoring, updates, maintenance, and support of deployed agents

The specific scope of Services for your AI agent will be agreed upon during the onboarding and discovery process.

3. Fees and Payment

3.1 Setup Fee

A one-time setup fee of $1,099 USD is charged at the commencement of Services. This fee covers the design, development, testing, and deployment of your custom AI agent.

3.2 Monthly Subscription Fee

Following deployment, a monthly subscription fee of $499 USD per month is charged for managed hosting, maintenance, updates, and support. Billing is recurring and begins upon deployment of your agent.

3.3 Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize WalaLabs to charge fees as described herein. You agree to maintain valid payment information.

3.4 Taxes

Fees do not include applicable taxes. You are responsible for all taxes associated with your purchase, except for taxes based on WalaLabs' income.

4. Refund Policy

4.1 Setup Fee — Non-Refundable

The one-time setup fee of $1,099 is non-refundable. This fee compensates WalaLabs for the substantial work involved in designing, building, and deploying your custom AI agent, which begins immediately upon engagement.

4.2 Monthly Subscription — Cancel Anytime

You may cancel your monthly subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. No partial refunds are issued for unused time within a billing period. After cancellation, your AI agent will be decommissioned at the end of the billing period.

4.3 Exceptions

If WalaLabs fails to deliver the agreed Services due to our own error or inability to perform, we will work with you in good faith to remedy the situation, which may include a partial or full refund of the setup fee at our discretion.

5. Cancellation

To cancel your subscription, email us at hello@walalabs.com at least 5 business days before your next billing date. We will confirm your cancellation in writing. You are responsible for all fees incurred prior to cancellation.

6. Client Responsibilities

You agree to:

• Provide accurate information during onboarding and throughout the engagement
• Grant WalaLabs the access and permissions necessary to build and maintain your agent
• Use the Services only for lawful purposes and in compliance with applicable laws
• Not use the Services to engage in fraud, deception, harassment, or any illegal activity
• Maintain the confidentiality of any access credentials provided
• Promptly notify WalaLabs of any security incidents or unauthorized access

7. Intellectual Property

7.1 WalaLabs IP

WalaLabs retains all intellectual property rights in its methodologies, frameworks, tools, and any pre-existing technology used to deliver the Services.

7.2 Your Data

You retain all rights to your business data, content, and information provided to WalaLabs. By using our Services, you grant WalaLabs a limited license to use your data solely to provide and improve the Services.

7.3 Deliverables

Upon full payment of the setup fee, WalaLabs grants you a non-exclusive license to use the custom AI agent built for your business. This license is contingent on maintenance of an active monthly subscription.

8. Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with the Services. WalaLabs will not disclose your business data or information to third parties except as necessary to deliver the Services or as required by law.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WALALABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WALALABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR SPECIFIC PURPOSES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALALABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WALALABS' TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO WALALABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless WalaLabs, its officers, employees, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Modifications to Terms

WalaLabs reserves the right to modify these Terms at any time. We will notify existing customers of material changes via email. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.

14. Termination

WalaLabs may suspend or terminate your access to the Services immediately if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay fees when due. Upon termination, your right to use the Services ceases. The following provisions survive termination: payment obligations, intellectual property, confidentiality, disclaimer of warranties, limitation of liability, and indemnification.
